Reflector welcomes all inquiries or comments about its products or services. However, it is Reflector’s policy to decline any unsolicited projects, suggestions or ideas. Accordingly, any comments, feedback, notes, messages, ideas, suggestions or other communications (collectively, “Comments”) sent to Reflector are and shall remain the exclusive property of Reflector. Such Comments will be considered non-proprietary and non-confidential. The submission of Comments constitutes an irrevocable and perpetual assignment to Reflector of all of your rights, including your intellectual property rights, in the Comments throughout the world, as well as a waiver of your moral rights to the Comments. Reflector shall be entitled to use, reproduce, disclose, publish and distribute any Comments you transmit for any purpose whatsoever, including advertising and promotional purposes, without restriction or notice and without compensating you in any way. For this reason, we ask that you not send us any Comments that you would not want to give to Reflector, including any confidential information or original creative material such as a story, product idea, computer code or original artwork.
If you make Comments, you represent and warrant that you own or otherwise control all of the rights to such Comments. You further represent and warrant that such Comments do not constitute or contain computer viruses, commercial solicitation, chain letters, mass mailings or any other form of “spam”. You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead Reflector as to the origin of the Comments. You are solely responsible for the content of any Comments you submit and Reflector assumes no liability with respect to such Comments. You agree to indemnify Reflector for any claim arising from any claim by you to rights in any Comments.
To the extent permitted by law and unless caused by their personal actions, Reflector, its employees, directors, officers and agents shall not be liable for any damages resulting from the use of or inability to use the Site, the cost of procurement of substitute services, unauthorized access to your data or alteration of your data transmissions, including, but not limited to, indirect, special, incidental or consequential damages of any kind, particularly damages for loss of profits, use of data or other intangible property, even if Reflector, its employees, directors, officers or agents have been advised of the possibility of such damages.
If you are not satisfied with this Site or the Content, or if you do not agree with these Terms of Use, your sole recourse is to discontinue using this Site.
In some cases, applicable law may not permit the limitation of liability set forth above, in which case this limitation of liability will not apply in those particular cases. If any portion of this limitation of liability is deemed to be invalid or unenforceable for any reason, then in such circumstances the total liability of Reflector (and its employees, directors, officers, agents or third parties with whom Reflector may partner from time to time) for any liability that would otherwise have been limited, shall not exceed one hundred Canadian dollars (C$100). If this disclaimer does not apply in such circumstances, for whatever reason, any claim or cause of action arising out of or related to the use of the Site or these Terms must be filed within one (1) year after such claim or cause of action arose.
You are responsible for postings that you make to the Site, for downloads of files from the Site, and for the dissemination of information and transmission of data from your computer system. If you cause damage to the Site or if someone else uses your e-mail address or password to cause damage to the Site or to Reflector, you will be held responsible. Accordingly, we recommend that you do not disclose your password to anyone.
In addition, you agree to indemnify and hold harmless Reflector and its other related entities, directors, officers, employees, agents, and any other person acting on behalf of Reflector or third parties with whom Reflector may partner from time to time, from and against any and all claims, actions, damages, or other demands, including, without limitation, reasonable attorneys’ fees and costs, arising from your use of the Site. You also agree to indemnify Reflector for any loss, damage or costs, including without limitation reasonable attorneys’ fees, resulting from your use of any virtual robots, spiders, crawlers, or similar data gathering or extraction tools, or from any other action by you that imposes an unreasonable burden or load on Reflector’s infrastructure.
Any violation of these Terms of Use or any other Reflector policy or agreement, including unauthorized use of the Site, may be subject to investigation and prosecution, including civil, criminal, injunctive or penal proceedings. You acknowledge and agree that Reflector may, without notice and in its sole discretion, terminate your access to the Site or impose such other sanctions as Reflector deems appropriate if Reflector believes that your conduct, or the conduct of any person deemed by Reflector to be acting in concert with you, violates any law or these Terms of Use, or violates the rights of Reflector, third parties with whom Reflector may partner with from time to time, a customer of Reflector, or any other user of the Site.
The Site is operated from Montreal, Quebec, Canada. Accordingly, any dispute between a user and Reflector shall be governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to the conflict of laws provisions of that country. In addition, you hereby consent to the exclusive jurisdiction and venue of the courts of the Province of Quebec, in the judicial district of Montreal, in all disputes, controversies or proceedings arising out of or relating to the use of the Site.
These Terms of Use, including the Data Protection Policy and the Cookie Policy, constitute theentire agreement between you and Reflector with respect to your use of the Site. These Terms of Use supersede any prior agreements between you and Reflector. Other terms and conditions may apply to you when purchasing certain products promoted on the Site.
No failure by us to exercise or enforce any right or provision of these Terms of Use shall be construed as a waiver of such right or provision. If any provision(s) of these Terms of Use are held to be invalid or unenforceable in whole or in part, all other provisions of these Terms of Use, the Data Protection Policy, and the Purchase Agreement shall remain in full force and effect to the fullest extent permitted by applicable law.
Reflector may, with or without prior notice, terminate any rights granted under these Terms of Use. You shall immediately comply with any termination or other notice, including, if applicable, by discontinuing all use of the Site.
